These Terms and Conditions constitute a legally binding agreement (“Agreement”) made between you and Esim-Man, concerning your access to and use of our website (“Services”). You agree that by accessing the Services, you have read, understood, and agree to observe all of these Terms and Conditions. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE WEBSITE AND YOU MUST STOP THE USE IMMEDIATELY.

This Agreement may be changed. We may modify or amend this Agreement from time to time. Unless otherwise provided in this Agreement, all such modifications or amendments shall be effective immediately upon posting on https://esim-man.com/ (the “Website”). When we make a significant change to this Agreement, we will endeavor to notify you about this change. YOUR CONTINUED USE OF THE SERVICE AFTER THE POSTING ON THE WEBSITE WILL BE CONCLUSIVELY DEEMED TO BE ACCEPTANCE BY YOU OF ANY SUCH MODIFICATIONS OR AMENDMENTS.

The Service consists in providing prepaid cellular Data Plans (allowance of data valid for a certain duration) to enable connecting your Device to the Internet (the “Data Plans”).

The countries in which you can use the Data Plans are listed on our website. Available plans may be changed from time to time and depend on the country you are currently in.

The Services are not intended for use by any person or entity in any jurisdiction or country where such use would be contrary to law or regulation. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

1. eSIM services

Esim-Man sells prepaid eSIM with data service plans based on eSIM technology. Esim-Man may be reselling the Services through a Partner or an Agent.

2. Registration

• The customer may register for the Services through our website.
• The customer must provide his/her First and Last name and verifiable email address in order to register. Optionally, customers may use a profile photo and state their travel preferences. Such information can be provided at your discretion.
• The customer must accept these Terms and Conditions and the Privacy Policies before registering on the website.

3. Purchase and Activation

• Esim-Man may restrict the availability of plans to some countries. Customers can search, select and purchase the plan on our website.
• By purchasing the Service, customers agree that they have an unlocked, eSIM-compatible device, which is the requirement for the Service.
• For proper use of the Services, the customer must first download the eSIM onto their device in order for the data plans to be configured as per your order, then activate the data plan attached to the eSIM in order the Services commence. Downloading eSIM and activation of the plans may require stable internet connection. The downloaded eSIM shall continue to remain on your device after credit has been expended or your plan has expired. Customers can choose to remove the eSIM in their phone settings at any time, but we recommend that the customer do not remove eSIM until their plan has been expired.

4. Duration and Termination

• The Services shall commence immediately following a successful download of eSIM and activation of the data plan attached with the eSIM.
• The duration of the Services will be as per the terms of the plan purchased.
• The Services will terminate either on full consumption of plan or expiry of duration of the plan, whichever is earlier.
• Esim-Man may suspend the Customer’s use of the Services in case of breach of customer obligations mentioned below, with or without any notice. Esim-Man reserves the right to close the account(s) of any Customer and to request proper payment if the Customer attempts to use the Esim-Man’s promotions and/or referrals for the Services in a questionable manner or breaches any of these Terms & Conditions or is in violation of any law, statute or governmental regulation.

5. Engagement

• The Services are provided on an “as is” basis. Esim-Man shall use reasonable steps to make the Service available to you at all times, contingent upon our and/or our service provider’s ability to maintain network capacity and connection availability. However, because Esim-Man relies on technology and networks provided by its partners, Esim-Man cannot guarantee network coverage, quality or availability of the Services.
• Esim-Man cooperates with other entities to provide the Services. Esim-Man does not have any obligation to inform the customer if it uses services from such partners. Customer agrees to comply with Terms and Conditions of our partners as well. Availability of Services depends on our partners’ ability to maintain network capacity and connection availability. We do not provide any guarantees or assurances as per their performance.

6. Customer Obligations

• Customer agrees to use the Services in compliance with these Terms and Condition. Customer also agrees to be responsible for all use of the Services.
• Customer agrees to provide true, accurate, and complete registration information, and to keep such information up-to-date.
• Customer agrees to keep the password confidential and is under full responsibility for all use of his/her account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is objectionable.
• Customer agrees that the Service shall be used for personal use only.
• Customer agrees to use the Services in accordance with all applicable laws and regulations of the home nation, the country of residence, and the country in which the customer is present.
• Customer agrees that the Services must not be used to engage in any action that is abusive, illegal or fraudulent or that causes the network to be impaired or damaged.
• Customer agrees that the credits, promotions and referrals for the Services (the “Program”) must not be used to endanger the fairness, integrity or legitimate operation of the Program, including but not limited to, creating fake accounts or using fictitious identities to participate in the Program or receive Reward.
• Customer agrees that Esim-Man may suspend the Services in case of breach of the above obligations, and that the Customer will continue to be liable and shall pay all charges due under these Terms and Conditions in respect of the suspended Services. Do note that any attempt to deliberately damage or endanger the legitimate operation of the Services and the Program may be in violation of criminal and civil laws. Esim-Man reserves the right to seek remedies and damages (including attorney fees) to the fullest extent of the law.

7. Applicable Law

• This Agreement and any non-contractual obligation arising out of or in connection with it, will be governed by and construed in accordance with the laws of the London, United Kingdom and any dispute shall be dealt in the courts there.
• Other mandatory rules, regulations and laws of other States or countries may also apply to your use of the Services.
• We may be required to collect certain personal information from you in order to comply with legal and regulatory requirements. If we request such information from you and indicate that this is for legal or regulatory compliance, then you agree that you will provide us with the true and accurate information requested. Our use of your personal information is subject to the terms of our Privacy Policy.

8. Intellectual Property Rights

Except as otherwise indicated, the website and all its technologies are our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (collectively, the “Content”) and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United Kingdom, foreign jurisdictions, and international conventions. All the above-listed Content is provided on the website “as is” for your information and personal use only. Except as expressly provided in these Terms and Conditions, no part of the website may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you are eligible to use the website, you are granted a limited license to access and use the Services and to download or print a copy of any portion of the Content to which you have properly received access solely for your personal, non-commercial use. We reserve all rights not expressly granted to you as to the website and all its Content.

9. Third party websites

We do not make any warranty as to the accuracy, completeness, reliability or continuous supply of the content or information contained on any third-party sites or resources accessed via the Service.

We will not be responsible for any harm you suffer from any virus that gains access to your equipment, whether transmitted via the website or otherwise. It is your responsibility to protect your equipment with suitable anti-virus software.

10. Reviews and comments

Registered users can post ratings and comments regarding products and services purchased through the Site, provided that such a review will not be contrary to the law; offensive; threatening; defamatory; violating privacy rights, intellectual property rights or otherwise causing damage to third parties. Also, comments cannot contain mass invitations, mass mailing or any "spam". It is prohibited to use another user's account to impersonate another person or organization, or otherwise mislead Esim-Man and other Users. Esim-Man reserves the right to delete (or limit) such materials without restrictions, but does not take responsibility for the content of regularly posting User reviews.

Esim-Man does not filter, edit or view comments before they appear on the Site. The comments do not reflect the opinions of Esim-Man, its representatives, employees and/or affiliates. Comments reflect the views and thoughts of the person who posts the comment. To the extent permitted by applicable law, Esim-Man is not responsible for comments or for any damage and/or expenses incurred as a result of any use and/or posting comments on the Site.

When you post a review and/or leave a comment, you provide us a free, perpetual, irrevocable and legal right to use, re-create, modify, correct, release works on any media and distribute without any restrictions. You provide us the right to use your name in relation to these materials if necessary. You confirm that it is you who control all rights to the published comment; your comment does not violate the Terms and Conditions and does not cause damage to any individual or legal entity; you will compensate us for all claims related to the content provided by you. Esim-Man will not be liable for any comments and/or ratings posted by Users.

11. Taxes and Other Charges

You must pay all taxes, fees, surcharges and other charges that we bill You for the Service, unless You can show documentation satisfactory to us that You are exempt. We will not provide advance notice of changes to taxes, fees, surcharges and other charges, except as required by applicable law.

12. Indemnity

You agree, at your sole cost and expense, to fully defend, indemnify and hold harmless Esim-Man, its affiliates, subsidiaries, shareholders, directors, officers, employees, and agents from and against any and all claims, causes of action, actions, judgments, liabilities and/or damages (including without limitation reasonable expenses and reasonable attorney’s fees) arising out of or in connection with (i) your use of the Service, (ii) your Account (including the use of your Account by a third party) and (iii) this Agreement.

13. Force Majeure

Esim-Man shall not be held responsible for any delay or failure in performance of any part of this Agreement to the extent that such delay or failure is caused by fire, flood, explosion, war, embargo, government requirement, civil or military authority, act of God or other similar causes beyond Esim-Man’s control.

14. Limitation of Liability

EXCEPT FOR DAMAGES CAUSED BY OUR INTENTIONAL MISCONDUCT, WE WILL NOT BE LIABLE FOR DAMAGES THAT EXCEED THE AMOUNT OF OUR CHARGES TO YOU FOR YOUR ACTUAL USE OF THE SERVICE DURING THE PRIOR ONE-MONTH PERIOD. UNDER NO CIRCUMSTANCES WILL WE BE LIABLE FOR ANY DIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFIT OR REVENUES, OR INCREASED COSTS OF OPERATION, EVEN IF SUCH DAMAGES WERE FORESEEABLE OR WE HAVE BEEN SPECIFICALLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NO MATTER HOW THAT CLAIM IS STYLED OR ON WHAT LEGAL GROUNDS IT IS BASED (SUCH AS CONTRACT, TORT, STATUTE OR OTHERWISE).
